Specific services are defined in individual Statements of Work (SOW) or service agreements between OpsMind and clients.

2. Use of Website

You agree to use our website only for lawful purposes and in accordance with these Terms. You agree not to:

  • Attempt to gain unauthorized access to our systems
  • Transmit malware or malicious code
  • Interfere with the proper functioning of the website

3. Intellectual Property

Client Work

  • Pre-existing IP remains with its original owner

  • OpsMind retains rights to general methodologies and frameworks

4. Consulting Services

Engagement Terms

All consulting engagements are governed by individual Statements of Work (SOW) that specify:

  • Scope of services
  • Deliverables
  • Timeline
  • Fees and payment terms
  • Specific terms and conditions

Professional Standards

We provide services with reasonable skill and care, consistent with industry standards. We do not guarantee specific business outcomes, as results depend on many factors beyond our control.

5. Fees and Payment

Fee Structure

Fees for services are specified in individual SOWs and may be:

  • Fixed project fees
  • Time and materials (hourly/daily rates)
  • Retainer arrangements
  • Subscription fees (for software products)

Payment Terms

Unless otherwise specified:

  • Invoices are payable within 30 days
  • Late payments may incur interest at 4% above Bank of England base rate
  • We reserve the right to suspend services for overdue accounts

6. Cancellation and Refunds

Consulting Services

  • Either party may terminate an engagement with 30 days written notice
  • Fees for work completed up to termination are due
  • Specific cancellation terms may be defined in individual SOWs

Software Products (if applicable)

  • Monthly subscriptions: Cancel anytime, effective end of billing period
  • Annual subscriptions: Refundable within 14 days of purchase
  • No refunds after 14-day period for annual subscriptions

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during engagements. This includes:

  • Business strategies and plans
  • Technical specifications
  • Financial information
  • Customer data
  • Any information marked as confidential

Confidentiality obligations survive termination of services.

8. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws including UK GDPR. When processing client data, we act as a data processor under written agreement specifying data protection obligations.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim arising from services is limited to the fees paid for those specific services in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for loss of profits, data, business opportunity, or goodwill

These limitations do not apply to liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, or fraud.

10. Indemnification

You agree to indemnify and hold OpsMind harmless from claims, damages, and expenses (including legal fees) arising from:

  • Your use of our website
  • Your violation of these Terms
  • Your violation of any third-party rights

11. Warranties and Disclaimers

Website

Our website is provided "as is" without warranties of any kind. We do not guarantee the website will be uninterrupted, secure, or error-free.

Services

We warrant that services will be performed with reasonable skill and care. This is your sole warranty regarding services, and all other warranties are excluded to the extent permitted by law.

12. Third-Party Services

Our services may integrate with or recommend third-party products and services. We are not responsible for third-party services, and your use of them is subject to their terms and policies.

13. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or infrastructure failures.

14. Dispute Resolution

We aim to resolve disputes amicably. If a dispute cannot be resolved informally:

  • The parties agree to attempt mediation before litigation
  • Any legal action shall be brought in the courts of England and Wales
  • These Terms are governed by the laws of England and Wales

15. Changes to Terms

We may update these Terms from time to time. Changes are effective when posted. Continued use of our website or services after changes constitutes acceptance. Material changes will be communicated via email or website notice.

16. General Provisions

Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in effect.

Entire Agreement

These Terms, together with our Privacy Policy and any SOWs, constitute the entire agreement between you and OpsMind regarding the subject matter herein.

Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.

No Waiver

Failure to enforce any provision does not waive our right to enforce it later.
